4 REORGANISATION OF THE WILLIAM BLYTH TRUST

Decision


4.1      CONSIDERED the new draft Constitution - Appendix 1 and draft Application for incorporation as a Scottish Charitable Incorporated Organisation (SCIO) - Dalbeattie Bequest - Appendix 2;


AGREED


4.2      a new draft Constitution for submission to the Office of the Scottish Charity Regulator (OSCR) to set up a Scottish Charitable Incorporated Organisation as set out in Appendix 1 of the report with amendments as follows: paragraph 15 to read “The minimum number of charity trustees is four”; paragraph 43 to read “A minimum of 2 meetings a year and any additional meetings may be called where 50% of trustees request an additional meeting”; and paragraph 45 to read “No valid decisions can be taken at a board meeting unless a quorum is present; the quorum for board meetings is 4 charity trustees” (Appendix 1);


4.3      the new number of trustees to be 6 and will be Mr Ian Blake, Mr Rob Davidson, Mr Davie Stitt, Ms Erica Johnson, Ms Shona Reid and Mr Ian Robertson and the principal contact will be Mr Stephen Hinton-Smith, Finance Officer, Dumfries and Galloway Council, Dumfries for the Dalbeattie Bequest; and 


4.4     the application for incorporation as a Scottish Charitable Incorporated Organisation (SCIO) - Dalbeattie Bequest is set out in Appendix 2 of the report with amendments as follows: Q6b to read “Regular meetings, at least 2 a year, of the trustees …..”; and Q6c to read “The grant application form will ask applicants how the grant will benefit the individual applicant or how the organisation applying will benefit the community of Dalbeattie, what the likely outcomes are and how many will benefit” (Appendix 2);.
